1. Acceptance of Terms

By accessing or using any products, services, websites, or applications provided by AlphaConnections Medical Limited ("we," "our," or "us"), including FendanaCura, MediGuide, FendanaCor, and our website at alphaconnectionsmedical.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services. We are a company registered in Ireland (Company Number: 771994) with our registered office at 77 Lower Camden Street, Dublin, D02 XE80, Ireland.

2. Definitions

For the purposes of these Terms:

  • "Services" means all products, platforms, applications, websites, and related support provided by us.
  • "Customer" or "you" means the individual or organisation that has subscribed to or is using our Services.
  • "End User" means any individual who uses our Services under a Customer's account (e.g., caregivers, care coordinators, family members).
  • "Subscription" means the paid or trial access plan for our Services.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration and keep your account information updated. You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe pose a security risk.

4. Subscription and Payment

Our Services are offered on a subscription basis. Subscription fees, billing cycles, and payment terms are set forth in your order form or service agreement. Fees are non-refundable except as expressly stated in your agreement or as required by applicable law. We reserve the right to change our pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing. Late payments may result in suspension or termination of Services.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload, transmit, or store any content that infringes intellectual property rights, is defamatory, or violates privacy rights.
  • Attempt to gain unauthorised access to any part of the Services, other accounts, or systems.
  • Interfere with or disrupt the integrity, performance, or security of the Services.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Use the Services to store or transmit malware, viruses, or harmful code.
  • Resell, sublicense, or commercially exploit the Services without our written consent.

6. Intellectual Property

All intellectual property rights in the Services — including software, designs, text, graphics, logos, and trademarks — are owned by or licensed to AlphaConnections Medical Limited. Your subscription grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. You retain all rights to the data you upload to the Services ("Customer Data"). By uploading Customer Data, you grant us a limited license to host, copy, transmit, and display it solely as necessary to provide the Services to you.

7. Data Protection and Privacy

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. As a data controller of any personal data you upload to the Services, you are responsible for ensuring you have the necessary legal basis to collect and process that data. We act as a data processor with respect to Customer Data uploaded to our platform and process it in accordance with our Data Processing Agreement (available on request).

8. Service Availability and Support

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend access for scheduled maintenance, emergency repairs, or circumstances beyond our reasonable control. We will provide reasonable notice of planned maintenance where possible. Support is provided in accordance with your service level agreement. Standard support is available during business hours; premium support options including 24/7 coverage are available under separate agreement.

9. Limitation of Liability

To the fullest extent permitted by applicable law, AlphaConnections Medical Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, business, or goodwill — arising from your use of or inability to use the Services. Our total aggregate liability for any claim arising from these Terms or the Services shall not exceed the total fees paid by you in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless AlphaConnections Medical Limited and its directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) Customer Data that infringes third-party rights; or (c) your violation of applicable laws or regulations.

11. Termination

Either party may terminate the subscription in accordance with your service agreement. We may suspend or terminate your access immediately if you breach these Terms or if we reasonably believe continued access poses a security, legal, or reputational risk. Upon termination, your right to access the Services ceases immediately. We will retain your Customer Data for 30 days after termination to allow you to export it. After this period, we will securely delete your data unless retention is required by law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active subscribers at least 30 days before taking effect. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and terminate your subscription before the changes take effect.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland. For Customers in jurisdictions where mandatory local consumer protection laws apply, nothing in these Terms shall affect those statutory rights.
